Welcome to TheCityCal.

These Terms of Use (“Terms”) govern your access to and use of TheCityCal’s website, platform, accounts, features, and services.

By accessing or using TheCityCal, you agree to be bound by these Terms. If you do not agree with these Terms, you should not access or use TheCityCal.

TheCityCal is operated by Tara Elizabeth LLC and is based in Madison, Wisconsin.

Section 1. About TheCityCal

1.1 Our Purpose

TheCityCal is a local discovery platform designed to make it easier for people to discover events, places, organizations, and experiences within their community.

TheCityCal provides a centralized place for users to explore opportunities, learn about local activities, and connect with publicly available information about events and organizations.

TheCityCal is a discovery platform. It is not:

  • An event organizer;
  • A ticketing platform;
  • A booking service;
  • A representative, agent, or partner of listed businesses, organizations, venues, or event organizers;
  • A guarantee of the quality, safety, legality, availability, or experience of any listed event, business, organization, or venue.

TheCityCal does not host, operate, control, or supervise most events or businesses displayed on the platform. Information may be submitted by third parties, collected from publicly available sources, or organized by TheCityCal.

Many features of TheCityCal, including browsing events, saving favorites, sharing listings, and saving events to a calendar, are available without creating an account. TheCityCal may count these interactions in aggregate — for example, the number of times an event is favorited, shared, or saved to a calendar — and may make those totals available to the relevant business or organization. These totals do not identify individual users.

1.2 Your Agreement to These Terms

By accessing or using TheCityCal, you agree that you:

  • Have read and understand these Terms;
  • Agree to follow these Terms;
  • Agree to comply with all applicable laws and regulations;
  • Understand that information on TheCityCal may come from third parties and should be independently verified when appropriate.

If you use TheCityCal on behalf of a business, organization, group, or other entity, you represent that you have authority to accept these Terms on that entity’s behalf.

Your use of TheCityCal is also governed by the TheCityCal Privacy Policy, which describes how information is collected, used, and shared, and which is incorporated into these Terms by reference. Certain features are also subject to additional posted guidelines, including the event submission guidelines available within account tools; where such a guideline conflicts with these Terms, these Terms control unless the guideline expressly states otherwise.

1.3 Changes to These Terms

TheCityCal may update these Terms from time to time as the platform evolves, new features are introduced, or legal requirements change.

When changes are made, the updated Terms will be posted with a revised Effective Date.

Your continued use of TheCityCal after updated Terms are posted means that you accept the updated Terms.

Section 2. Accounts, Eligibility, and Responsibilities

2.1 Types of Accounts

TheCityCal currently provides two types of accounts:

  • Business accounts; and
  • Group accounts, which may be used by organizations, community groups, and event hosts or organizers.

TheCityCal may introduce additional account types or features in the future, including individual user accounts or personalized profiles.

The availability of future account types does not guarantee that any specific feature will be introduced.

2.2 Account Eligibility

To create a business or group account, you must:

  • Provide accurate and complete information;
  • Maintain accurate account information;
  • Have authority to represent the business, organization, group, or entity associated with the account;
  • Use the account only for legitimate purposes related to that organization.

By creating an account, you confirm that you are authorized to submit and manage information on behalf of the associated business, organization, group, or entity.

2.3 Account Information Accuracy

You agree that all information submitted through your account will be:

  • Accurate;
  • Complete;
  • Current;
  • Not intentionally misleading.

This includes, but is not limited to:

  • Business information;
  • Organization information;
  • Event information;
  • Venue details;
  • Contact information;
  • Images;
  • Descriptions.

Businesses, organizations, and groups are responsible for reviewing and maintaining the accuracy of their information once they have access to manage their account.

2.4 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account.

You agree to notify TheCityCal if you believe your account has been accessed without authorization.

TheCityCal is not responsible for losses resulting from your failure to protect your account information.

2.5 Account Verification

To help protect the accuracy and integrity of listings, TheCityCal may verify business or organization accounts.

Verification methods may include:

  • Email verification using an organization-related email address;
  • Verification through publicly available business information;
  • Phone verification;
  • Requests for documentation demonstrating a legitimate connection to the organization.

Verification does not constitute an endorsement, recommendation, or guarantee by TheCityCal.

2.6 Account Suspension or Removal

TheCityCal reserves the right, but not the obligation, to suspend, restrict, or remove accounts when we believe it is necessary to:

  • Protect users;
  • Protect the integrity of the platform;
  • Address violations of these Terms;
  • Prevent fraud, abuse, or misleading information;
  • Address inappropriate or harmful content.

Examples may include accounts that:

  • Provide false information;
  • Misrepresent their identity or affiliation;
  • Upload inappropriate or unauthorized content;
  • Attempt to manipulate or misuse the platform.

2.7 Deleting Your Account

Account holders who are signed in may delete their own account at any time from their account settings.

Self-service account deletion takes effect immediately and removes the account and its associated login. Related listing information may be removed or disassociated from the account in accordance with the options presented during deletion.

TheCityCal may retain certain information after account deletion where necessary for legal, security, fraud-prevention, dispute-resolution, or legitimate business purposes, as described in the Privacy Policy.

Section 3. Business, Organization, and Event Listing Responsibilities

3.1 Responsibility for Submitted Information

Businesses, organizations, groups, and event organizers are responsible for the information they provide to TheCityCal.

By submitting information, you agree that you are responsible for ensuring that submitted information is accurate, lawful, and appropriate for publication.

This includes responsibility for:

  • Event dates and times;
  • Locations;
  • Registration requirements;
  • Pricing information;
  • Descriptions;
  • Images;
  • Logos;
  • Accessibility information;
  • Other details provided to users.

3.2 Listing Management

Once a business or organization claims an account, they may manage eligible information through available account features.

TheCityCal encourages account holders to regularly review their listings and ensure information remains accurate.

TheCityCal is not responsible for manually maintaining or updating individual listings on behalf of account holders after account access has been provided.

3.3 Event Eligibility Requirements

TheCityCal is intended to feature publicly accessible, in-person events that individuals can attend.

To be eligible for inclusion on TheCityCal, events should:

  • Be open to the general public;
  • Have a specific date and time;
  • Take place in person;
  • Occur within TheCityCal’s current service area;
  • Represent a specific event or occurrence rather than an ongoing service, business offering, or appointment-based activity;
  • Allow individuals to attend the specific event rather than requiring enrollment in a broader program or multi-session commitment.

Examples of content that generally does not qualify as an event listing include:

  • General business services;
  • Ongoing appointments;
  • Open-ended offerings;
  • Virtual-only events;
  • Private events not open to the public;
  • Programs requiring enrollment in a series rather than attendance at an individual event.

TheCityCal currently focuses on events located within Dane County, Wisconsin, or within a 30-mile radius of Madison, Wisconsin. TheCityCal may adjust its geographic coverage over time.

3.4 Recurring Events

Recurring events must accurately represent their schedule.

Examples:

  • Weekly events should be identified as repeating weekly events.
  • Monthly events should be identified as repeating monthly events.

Businesses and organizations are responsible for ensuring recurring schedules remain accurate.

3.5 TheCityCal’s Right to Review Listings

TheCityCal reserves the right, but not the obligation, to review, edit, restrict, decline, or remove listings or content at our discretion.

This may include content that:

  • Does not meet event requirements;
  • Contains inaccurate or outdated information;
  • Is duplicate content;
  • Is promotional content unrelated to TheCityCal’s purpose;
  • Is misleading, inappropriate, harmful, or inconsistent with these Terms.

TheCityCal does not guarantee that all listings will be reviewed, monitored, or independently verified.

Section 4. Public Information, AI-Assisted Content, and Data Sources

4.1 Publicly Available Information

TheCityCal may include information from publicly available sources to help users discover events, businesses, organizations, venues, and experiences.

Publicly available information may include:

  • Event names;
  • Dates and times;
  • Locations;
  • Public descriptions;
  • Public business information;
  • Website links;
  • Other information intended to be available to the public.

TheCityCal does not claim ownership of the underlying facts, events, businesses, organizations, or publicly available information provided by third parties.

TheCityCal’s role is to organize, categorize, format, and present information in a way that helps users discover local experiences.

4.2 Initial Platform Listings

To create a useful discovery experience, TheCityCal may create initial listings using publicly available information before a business, organization, or event organizer has created an account.

This may include information gathered from:

  • Public websites;
  • Public event calendars;
  • Public business information;
  • Other publicly accessible sources.

Businesses, organizations, and event organizers may request correction or removal of their information by submitting a request through the Delete My Data form, or may report content used without authorization through the Report Unauthorized Content form. Both are available from the Contact Us menu in the site footer.

TheCityCal may review requests and take appropriate action, which may include:

  • Updating information;
  • Removing information;
  • Restricting visibility;
  • Connecting information to a claimed account.

4.3 Claimed Listings and Account Management

When a business, organization, or event organizer creates an account, TheCityCal may associate existing listings related to that organization with the claimed account.

This allows account holders to review and manage eligible information through available account features.

Claiming an account does not transfer ownership of underlying event or business information to TheCityCal or to the account holder.

Account holders remain responsible for maintaining accurate information associated with their listings.

4.4 AI-Assisted Tools and Automated Processes

TheCityCal may use automated tools, including artificial intelligence technologies, to assist with:

  • Organizing information;
  • Categorizing events;
  • Creating summaries;
  • Formatting listings;
  • Improving consistency;
  • Assisting with event description generation.

AI-assisted tools may be used to help process publicly available information or information submitted by businesses and organizations.

While TheCityCal strives to provide accurate information, automated processes may produce errors or require review.

Users should verify important event details directly with the event organizer or original source.

4.5 Event Description Creation and Paraphrasing

TheCityCal may use manual or automated processes to summarize, organize, or reformat event information.

Where appropriate, TheCityCal may create original summaries or paraphrased descriptions to improve readability, consistency, and user experience.

Unless a business or organization has granted TheCityCal permission to reproduce its content, event titles and descriptions derived from that business’s or organization’s own published materials are, by default, rewritten in TheCityCal’s own words rather than reproduced verbatim. Factual details such as names, dates, prices, addresses, and links are kept as accurate as possible.

TheCityCal does not claim ownership of the underlying event facts, business information, or third-party materials from which information is derived.

4.6 Business and Organization Preferences Regarding Automated Assistance

TheCityCal may, now or in the future, offer businesses and organizations the ability to express preferences about how their information is used, such as:

  • Whether TheCityCal may use their event information and images to promote their events on TheCityCal’s own channels, including social media and email newsletters;
  • Whether their information may be reproduced more closely rather than rewritten;
  • Whether their event information is imported automatically from their website.

The specific options available may change as TheCityCal develops additional features, and a preference may not be available for every type of content or every account.

Section 5. Content Ownership, Licenses, and Intellectual Property

5.1 Submitted Content Ownership

Businesses, organizations, groups, and users retain ownership of content they submit to TheCityCal.

Submitted content may include:

  • Business descriptions;
  • Organization descriptions;
  • Event information;
  • Photos;
  • Logos;
  • Images;
  • Venue information;
  • Other materials provided by users.

Submitting content does not transfer ownership of that content to TheCityCal.

5.2 License Granted to TheCityCal

By submitting content to TheCityCal, you grant TheCityCal a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, format, organize, display, publish, distribute, and otherwise use that content as necessary to:

  • Operate TheCityCal;
  • Display listings;
  • Improve the platform;
  • Organize and categorize information;
  • Promote TheCityCal and its services.

This license allows TheCityCal to provide the functionality of the platform while allowing content owners to retain ownership of their original materials.

5.3 Your Responsibility for Submitted Content

By submitting content, you represent and warrant that:

  • You own the content or have permission to use it;
  • You have authority to submit the content on behalf of the relevant business, organization, or individual;
  • The content does not infringe upon the rights of another person or organization;
  • The content is not knowingly false, misleading, or unlawful.

TheCityCal may remove content when we believe it violates these Terms or creates legal, safety, or platform concerns.

5.4 TheCityCal-Owned Platform Content

TheCityCal owns or has rights to the platform elements it creates and develops, including:

  • Website design;
  • Branding;
  • Logos;
  • Software;
  • Code;
  • Original written content;
  • User interface design;
  • Taxonomy and category systems;
  • Filters and organizational structures;
  • Methods of organizing and presenting information.

These elements are protected by applicable intellectual property laws.

5.5 TheCityCal Database and Organization System

TheCityCal represents a significant investment in organizing local event information into a structured discovery platform.

Without permission, users may not:

  • Scrape TheCityCal’s database;
  • Copy or reproduce listings in bulk;
  • Extract taxonomy structures;
  • Republish TheCityCal’s organized event database;
  • Use TheCityCal’s information architecture to create a competing service;
  • Commercially exploit information obtained from TheCityCal.

Individual users may use TheCityCal for personal discovery purposes, including finding events, saving information, and sharing individual listings.

5.6 Reporting Intellectual Property Concerns

If you believe that content on TheCityCal infringes your copyright or other intellectual property rights, or that your content or materials have been used without authorization, you may report it through the Report Unauthorized Content form, available from the Contact Us menu in the site footer.

To help TheCityCal review your report, please identify the specific content at issue, describe your relationship to the underlying work, business, or organization, and explain the basis for your concern.

TheCityCal may remove or restrict access to content in response to a credible report, and may take other action described in Section 9. Submitting a report does not limit any legal rights or remedies otherwise available to you.

Section 6. User Conduct and Prohibited Activities

6.1 Acceptable Use

TheCityCal is intended to help users discover local events, businesses, organizations, and experiences.

By using TheCityCal, you agree to use the platform responsibly and only for lawful purposes.

You agree not to use TheCityCal in any way that:

  • Violates applicable laws or regulations;
  • Infringes upon the rights of another person or organization;
  • Interferes with the operation or security of the platform;
  • Harms, threatens, or misleads other users or third parties.

6.2 Prohibited Activities

You may not:

  • Submit false, inaccurate, misleading, or fraudulent information;
  • Impersonate another person, business, organization, or entity;
  • Create an account without authorization to represent the associated business, organization, or group;
  • Upload, submit, or distribute content that you do not have permission to use;
  • Upload malicious files, malware, viruses, or harmful code;
  • Attempt to gain unauthorized access to TheCityCal, its systems, accounts, or data;
  • Interfere with website functionality, security features, or infrastructure;
  • Attempt to circumvent security measures, rate limits, or access restrictions;
  • Use automated systems to access, collect, extract, or copy information from TheCityCal without permission;
  • Scrape, reproduce, redistribute, or commercially exploit TheCityCal’s database, listings, taxonomy, or organizational structure;
  • Abuse forms, feedback tools, account creation systems, or other platform features;
  • Use TheCityCal to promote content unrelated to its purpose as a local event and experience discovery platform;
  • Engage in activity that could damage the reputation, security, or operation of TheCityCal.

6.3 Event Submission Standards

Users submitting events agree that submitted events must comply with TheCityCal’s event eligibility requirements.

TheCityCal may decline or remove events that do not meet platform standards, including events that:

  • Are not open to the public;
  • Are not location-based, in-person experiences;
  • Do not have a specific date and time;
  • Represent ongoing services rather than specific events;
  • Require private membership, invitation, or enrollment unless otherwise appropriate for TheCityCal;
  • Fall outside TheCityCal’s geographic coverage area;
  • Are primarily promotional, commercial, or unrelated to the purpose of the platform.

Section 7. Communications, Feedback, and Future Features

7.1 Feedback and Suggestions

TheCityCal welcomes feedback, suggestions, and ideas from users.

By submitting feedback, suggestions, ideas, or other comments through TheCityCal, you grant TheCityCal permission to use that information to improve, develop, modify, and enhance the platform.

You understand that:

  • Feedback does not create ownership rights in TheCityCal;
  • TheCityCal is not obligated to implement any suggestion;
  • You are not entitled to compensation for submitted feedback.

7.2 Communications from TheCityCal

TheCityCal may communicate with users regarding:

  • Account-related matters;
  • Important platform updates;
  • Security notices;
  • Requests related to submitted content;
  • Responses to feedback or support requests.

Users who voluntarily subscribe to optional communications, if and when such options are offered, may receive additional updates based on their preferences.

7.3 Future Features and Services

TheCityCal may introduce additional features, services, or functionality in the future.

Potential future offerings may include:

  • Additional account types;
  • Personalized user profiles;
  • Saved preferences;
  • Enhanced discovery tools;
  • Paid services;
  • Promotional opportunities;
  • Sponsorships;
  • Featured listings;
  • Other platform enhancements.

TheCityCal reserves the right to introduce, modify, limit, or discontinue features at any time.

7.4 Paid Features and Promotional Opportunities

TheCityCal may offer paid services, promotional opportunities, sponsorships, or enhanced visibility options in the future.

Any paid features or promotional opportunities will be clearly identified when offered.

The availability of paid features does not change TheCityCal’s commitment to providing a useful discovery platform for users.

Section 8. Third-Party Information, No Endorsement, and Disclaimers

8.1 Third-Party Businesses, Organizations, and Events

TheCityCal provides information about events, businesses, organizations, venues, and experiences operated by third parties.

TheCityCal does not control, operate, or guarantee:

  • The quality of third-party events;
  • The conduct of businesses or organizations;
  • The safety of venues or activities;
  • The accuracy of third-party information;
  • The availability of listed events;
  • The fulfillment of promises made by third parties.

Any interaction, transaction, communication, or participation involving a third party is solely between you and that third party.

8.2 No Endorsement or Affiliation

The inclusion of an event, business, organization, venue, or listing on TheCityCal does not constitute:

  • An endorsement;
  • A recommendation;
  • A sponsorship;
  • An affiliation;
  • A guarantee;
  • A representation of quality, safety, or suitability.

Unless explicitly stated otherwise, TheCityCal does not represent that listed businesses, organizations, venues, or events have been reviewed, approved, or verified beyond any verification process described by TheCityCal.

8.3 Third-Party Links

TheCityCal may include links to third-party websites, including:

  • Event websites;
  • Business websites;
  • Registration pages;
  • Social media pages;
  • Other external resources.

Third-party websites are not controlled by TheCityCal.

TheCityCal is not responsible for:

  • The content of third-party websites;
  • Privacy practices of third-party websites;
  • Security of third-party websites;
  • Products, services, or experiences offered by third parties.

Your use of third-party websites is subject to the terms and policies of those third parties.

8.4 Event Verification Responsibility

Users should verify important event details directly with the event organizer before attending.

This may include verifying:

  • Event dates;
  • Times;
  • Locations;
  • Registration requirements;
  • Pricing;
  • Availability;
  • Accessibility information;
  • Cancellations or changes.

TheCityCal is not responsible for losses, inconvenience, or damages resulting from reliance on outdated, inaccurate, incomplete, or changed event information.

8.5 Geographic Coverage

TheCityCal currently focuses on events and experiences located within Dane County, Wisconsin, or within a 30-mile radius of Madison, Wisconsin.

TheCityCal may expand, reduce, or adjust its geographic coverage at any time.

Section 9. Content Review, Modification, and Removal Rights

9.1 TheCityCal’s Right to Review Content

TheCityCal reserves the right, but not the obligation, to review content, listings, accounts, and submissions made available through the platform.

Review may occur for purposes including:

  • Maintaining platform quality;
  • Improving accuracy and organization;
  • Enforcing these Terms;
  • Protecting users and third parties;
  • Addressing complaints or disputes;
  • Complying with legal obligations.

TheCityCal does not guarantee that all content will be reviewed, monitored, or independently verified.

9.2 Modification of Content

TheCityCal may modify the presentation, formatting, organization, or categorization of information to improve the user experience.

Examples may include:

  • Correcting formatting issues;
  • Improving readability;
  • Applying categories or filters;
  • Organizing information within TheCityCal’s discovery structure;
  • Adjusting presentation for consistency.

TheCityCal does not assume responsibility for independently verifying all information submitted by third parties.

9.3 Removal of Content

TheCityCal reserves the right, but not the obligation, to remove, restrict, hide, or modify content or listings at our discretion.

Reasons for removal may include, but are not limited to:

  • Violation of these Terms;
  • Inaccurate or misleading information;
  • Outdated information;
  • Duplicate listings;
  • Content submitted without proper authorization;
  • Intellectual property concerns;
  • Safety concerns;
  • Legal requirements;
  • Content that does not align with the purpose of TheCityCal.

TheCityCal is not required to provide advance notice before removing content when immediate action is necessary to protect the platform, users, or third parties.

9.4 Requests for Correction or Removal

Businesses, organizations, event organizers, and other individuals may request correction or removal of information associated with them by submitting a request through the Delete My Data form. Content used without authorization, including copyrighted material, may be reported through the Report Unauthorized Content form. Both forms are available from the Contact Us menu in the site footer.

Requests may include:

  • Removal of public listings;
  • Correction of inaccurate information;
  • Concerns regarding unauthorized use of information;
  • Requests related to personal information.

TheCityCal may request additional information when necessary to verify a request.

TheCityCal will act on a verified request to delete personal information within 30 days, except where longer retention is required by law or reasonably necessary for security, fraud prevention, dispute resolution, or established legitimate business purposes. Where an extension is necessary, TheCityCal will notify the requester.

9.5 Disputed Content

If a dispute arises regarding ownership, authorization, accuracy, or publication of content, TheCityCal may take reasonable steps, including:

  • Requesting documentation;
  • Restricting access to disputed content;
  • Temporarily removing content;
  • Maintaining or restoring content after review.

TheCityCal may make reasonable determinations based on the information available at the time.

Section 10. Security, Website Availability, and Account Termination

10.1 Website Security

TheCityCal takes reasonable measures to protect the security and integrity of the platform.

However, no website, application, or online service can guarantee complete security.

You acknowledge that:

  • Internet transmissions may not always be secure;
  • Unauthorized access or technical failures may occur despite reasonable safeguards;
  • You use TheCityCal at your own risk.

10.2 Website Availability

TheCityCal strives to maintain a reliable and accessible platform but does not guarantee that:

  • The website will always be available;
  • Features will operate without interruption;
  • The platform will be free from errors;
  • Information will always be available or current.

TheCityCal may temporarily suspend, modify, update, or discontinue portions of the platform at any time.

10.3 Maintenance and Technical Changes

TheCityCal may perform maintenance, updates, improvements, or technical changes that may temporarily affect website availability.

Where practical, TheCityCal may provide notice of significant changes, but is not required to do so.

10.4 Account Suspension and Termination

TheCityCal may suspend, restrict, or terminate access to accounts when necessary to:

  • Enforce these Terms;
  • Protect the platform;
  • Prevent abuse or misuse;
  • Address fraudulent, misleading, or unauthorized activity;
  • Protect users, businesses, organizations, or third parties;
  • Comply with legal obligations.

Suspension or termination may occur with or without notice depending on the circumstances.

10.5 Effects of Account Termination

If an account is suspended or terminated:

  • Access to account features may be removed;
  • Submitted content may be restricted or removed;
  • Information may be retained where necessary for legal, security, operational, or legitimate business purposes.

Account termination does not eliminate obligations or responsibilities that arose before termination.

Account holders may also delete their own account at any time as described in Section 2.7.

Section 11. Disclaimer of Warranties

11.1 Use of TheCityCal

TheCityCal is provided on an “as available” and “as is” basis.

To the fullest extent permitted by applicable law, TheCityCal makes no warranties or guarantees regarding:

  • The accuracy, completeness, or reliability of information;
  • The availability or suitability of events, businesses, organizations, or venues;
  • The quality, safety, or legality of third-party offerings;
  • The uninterrupted operation of the platform;
  • The absence of errors, bugs, or security vulnerabilities.

11.2 Third-Party Information

Much of the information available through TheCityCal is provided by businesses, organizations, event organizers, or publicly available sources.

TheCityCal does not guarantee that third-party information is:

  • Accurate;
  • Complete;
  • Current;
  • Appropriate for every user.

Users should independently evaluate information and make their own decisions before attending events or interacting with third parties.

11.3 No Professional or Official Advice

Information provided through TheCityCal is intended for general discovery and informational purposes.

TheCityCal does not provide:

  • Professional advice;
  • Official recommendations;
  • Safety guarantees;
  • Legal, financial, medical, or other specialized guidance.

Section 12. Limitation of Liability and Indemnification

12.1 Limitation of Liability

To the fullest extent permitted by applicable law, TheCityCal, Tara Elizabeth LLC, and their owners, operators, contractors, service providers, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to:

  • Your access to or use of TheCityCal;
  • Your inability to access or use TheCityCal;
  • Reliance on information provided through the platform;
  • Errors, inaccuracies, omissions, or outdated information;
  • Changes, cancellations, postponements, or modifications to events;
  • Your participation in events listed on TheCityCal;
  • Interactions between users and businesses, organizations, venues, or event organizers;
  • Actions or omissions of third parties;
  • Content submitted by businesses, organizations, users, or other third parties;
  • Unauthorized access, security incidents, or technical failures;
  • Website interruptions, errors, or availability issues.

This includes, but is not limited to, claims involving:

  • Personal injury;
  • Property damage;
  • Financial loss;
  • Lost opportunities;
  • Loss of data;
  • Loss of business;
  • Disputes between users and third parties.

12.2 Third-Party Activities

TheCityCal provides information to help users discover events, businesses, organizations, venues, and experiences.

However, TheCityCal does not organize, operate, supervise, or control third-party activities.

You acknowledge that:

  • Events and experiences involve inherent risks;
  • Businesses and organizations are independent third parties;
  • TheCityCal is not responsible for the actions, conduct, safety practices, or performance of third parties.

You are responsible for making your own decisions regarding whether to participate in any event, activity, or interaction.

12.3 Maximum Liability

To the fullest extent permitted by law, if TheCityCal is found liable for any claim arising from your use of the platform, TheCityCal’s total liability shall not exceed the greater of:

  • The amount you paid to TheCityCal, if any, during the twelve (12) months before the event giving rise to the claim; or
  • One hundred dollars ($100).

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

Section 13. Indemnification

13.1 Your Responsibility

You agree to defend, indemnify, and hold harmless TheCityCal, Tara Elizabeth LLC, and their owners, operators, contractors, service providers, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of TheCityCal;
  • Your violation of these Terms;
  • Your violation of any applicable law or regulation;
  • Content you submit, upload, or provide;
  • Your infringement of another person’s or organization’s rights;
  • Your misuse of the platform;
  • Your interactions with other users, businesses, organizations, venues, or event organizers.

13.2 Business and Organization Accounts

If you create or manage a business, organization, or group account, you additionally agree to indemnify TheCityCal against claims arising from:

  • Information submitted on behalf of the business, organization, or group;
  • Lack of authority to represent the organization;
  • Unauthorized use of logos, photos, descriptions, or other materials;
  • Disputes regarding ownership, representation, or authorization.

Section 14. Dispute Resolution and Legal Disputes

14.1 Informal Resolution First

Before starting any court proceeding, you and TheCityCal agree to first try to resolve the dispute informally.

The party raising the dispute must send a written Notice of Dispute to the other. A Notice of Dispute to TheCityCal must be sent to legal@thecitycal.com and must include the sender’s name, the email address associated with any relevant account, a description of the dispute, and the specific relief being sought.

You and TheCityCal will then have sixty (60) days from the date the Notice of Dispute is received to try to resolve the matter. Neither party may start a court proceeding covered by this Section during that sixty-day period, except that either party may at any time bring a qualifying claim in small claims court or seek injunctive or other equitable relief to stop misuse of the platform, its systems, or its intellectual property.

This informal resolution process does not waive any legal rights or remedies otherwise available under applicable law.

14.2 Governing Law

These Terms, and any dispute arising out of or relating to these Terms or your use of TheCityCal, are governed by the laws of the State of Wisconsin, without regard to its conflict of law principles.

14.3 Exclusive Jurisdiction and Venue

Except for a qualifying claim brought in small claims court, any court proceeding arising out of or relating to these Terms or your use of TheCityCal must be brought exclusively in the state or federal courts located in Dane County, Wisconsin.

You and TheCityCal each consent to the personal jurisdiction of those courts and waive any objection to proceeding in those courts, including any argument that the forum is inconvenient.

14.4 Class Action and Representative Action Waiver

To the fullest extent permitted by applicable law, you and TheCityCal agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

Unless you and TheCityCal agree otherwise in writing, a court may not consolidate more than one person’s claims or otherwise preside over any form of a class or representative proceeding.

If any part of this Section 14.4 is found to be unenforceable as to a particular claim or request for relief, that part will not apply to that claim or request for relief, which will instead proceed in the courts identified in Section 14.3. The rest of this Section 14 will remain in effect.

14.5 Waiver of Jury Trial

To the fullest extent permitted by applicable law, you and TheCityCal each waive any right to a trial by jury in any proceeding arising out of or relating to these Terms or your use of TheCityCal.

14.6 Small Claims Court

Either party may bring an individual claim in small claims court in Dane County, Wisconsin, if the claim qualifies for and remains within that court’s jurisdiction.

14.7 Time Limit for Bringing a Claim

To the fullest extent permitted by applicable law, any claim arising out of or relating to these Terms or your use of TheCityCal must be filed within one (1) year after the claim first arises, or it is permanently barred. This limitation does not apply where it is prohibited by applicable law, including where a longer period is required by statute.

Section 15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional policies or guidelines referenced within them, constitute the entire agreement between you and TheCityCal regarding your use of the platform.

15.2 Severability

If any provision of these Terms is determined to be invalid, unenforceable, or unlawful, the remaining provisions will continue in full effect.

15.3 Waiver

The failure of TheCityCal to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

15.4 Assignment

You may not transfer or assign your rights or obligations under these Terms without prior written permission from TheCityCal.

TheCityCal may transfer or assign these Terms in connection with a business transaction, restructuring, sale, or transfer of the platform.

15.5 No Agency Relationship

Nothing in these Terms creates a partnership, employment relationship, agency relationship, joint venture, or representation between you and TheCityCal.

Businesses, organizations, venues, and event organizers listed on TheCityCal remain independent third parties.
